Mariano Soto

Partner & Founder

Mariano Soto concentrates his practice on derivatives, execution, clearing & settlement, custody, financial collateral, asset management, private wealth management, investment funds, banking & capital markets, business law and financial regulation. He also leads Trancura Legal’s Latin American practice.

Before founding Trancura Legal, Mariano spent four years as Executive Director in the legal department of Morgan Stanley in London, where he advised the bank on the strategy and optimisation of its trading risk through central counterparties. He also advised the bank in connection with its portfolio of strategic investments in fintech utilities. Prior to this, Mariano was Executive Director at Goldman Sachs in London, where he provided legal and regulatory advice to the Private Wealth Management business from 2011 to 2014. He was appointed senior counsel of Goldman Sachs in 2012.

From 2007 to 2010, Mariano was an Associate in the Structured Finance & Derivatives team at Weil, Gotshal & Manges LLP in London, where he participated in several high-profile financial and debt restructuring matters, including the multi-billion-dollar restructuring of Lehman Brothers’ international portfolio of structured finance and derivatives transactions. While at Weil Gotshal, Mariano was seconded to the legal department of Goldman Sachs in London, where he spent over a year supporting its Securities Division.

Mariano was also an International Associate with Cleary Gottlieb Steen & Hamilton LLP in New York, where his practice focused on international financial transactions with an emphasis on the firm’s Latin American clients. Prior to this, Mariano spent three years as Legal Advisor to the Ministry of Finance of Chile, both in the Capital Markets and the International Finance divisions, where he was integral to the design and legislative process of capital markets reforms, assisted with the issuance of sovereign debt in the domestic and international capital markets, and participated in financial services chapters negotiations as part of Chile’s free trade agreements with various trading blocs.

Mariano is admitted to practice in England and Wales, New York and Chile. As a solicitor in England and Wales, Mariano is personally regulated by the Solicitors Regulation Authority (SRA) but practises through Trancura Legal Consulting Ltd, a non-SRA Regulated entity under the rules in force, meaning the legal services offered and the professional indemnity insurance terms will be restricted to reflect Trancura Legal Consulting Ltd is not a firm of solicitors. REPRESENTATIVE EXPERIENCE

 

• Morgan Stanley, on the European implementation of key aspects of the G20 financial regulatory reform of OTC derivatives and on the strategy, governance and optimisation of its trading risk in financial instruments through central counterparties (CCPs).

• Goldman Sachs, on the launching of a European lending platform for private wealth management clients and on the restructuring of its onshore private wealth management business in Spain.

• A major US investment bank, on the planning and implementation of its Brexit post-trading infrastructure.

• A UK asset manager, on the regulatory regime and investment restrictions applicable to UK authorised investment funds.

• Lehman Brothers, on the restructuring of its multi-billion-dollar international portfolio of structured finance and derivatives transactions including stand-alone and programme level debt issuances.

• Corporación Nacional del Cobre de Chile (CODELCO), on an offering of fixed rate notes in the US capital markets.

• Dominican Republic, on the negotiation of a rescheduling agreement with the London Club to restructure its debt service payments.
